Canadian Unilateral Minimum Advertised Price

We recognize that our success is tied to the success of our network of customers. We also know that many
of our customers invest significant time, resources, training, post-treatment support to deliver an extraordinary
customer experience. We want to protect their ability to do so, while at the same time discouraging price-based
advertising that would be detrimental to our customers’ service and support efforts. As a result, InMode Ltd.
(“InMode”) has established this Unilateral Minimum Advertised Price (“MAP”) Policy for the advertisement of
certain treatments inside the Canada.
To support our customers’ efforts, InMode wishes to establish this MAP Policy to allow our customers to
earn the profits necessary to invest into our brand, advertising, and their services to maintain the high level of
customer excellence people have come to expect from InMode customers.
InMode has created a List Price and a Discounted Price for certain consumable products. Customers who
acquiesce with this policy will obtain Discounted Pricing to allow for our customers to further support our brand.

InMode, in its sole discretion, reserves the right to recover any Discounted Pricing and restrict
Discounted Pricing on future products to any customer that advertises any treatment covered by this MAP

Policy at a price lower than the MAP.

Failure to adhere to this policy may result in the customer’s forfeiture of past and/or future Discounted

Pricing from InMode.

This MAP Policy has been unilaterally adopted by InMode. InMode neither solicits nor will it accept
assurances by any reseller of acquiescence with this MAP Policy. Nothing in this Unilateral Policy shall constitute
an agreement between InMode and any reseller of compliance with this MAP Policy. The reseller within its own
discretion can choose to acquiesce or not acquiesce with this MAP Policy. InMode will not discuss conditions of
acceptance related to this MAP Policy. This MAP Policy is non-negotiable and will not be altered, modified, or
amended for any reseller.
InMode reserves the right from time to time to alter, modify, suspend, or cancel this MAP Policy. In
addition, InMode may update any Schedules to this MAP Policy.

General Guidelines

a. The treatments covered by this policy are listed in Schedule A (“MAP Treatments”). InMode may in
its sole discretion to modify this list from time to time.
b. InMode recognizes that customers are free to make their own decisions to advertise and sell any
treatments or services at any price they choose, without consulting or advising InMode.
c. The MAP Policy applies to advertised prices, not the price at which MAP Treatments are actually sold
or offered for sale to an individual in-store.
d. The MAP Policy applies to all advertisements of MAP Treatments in any and all media, including but
not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television,
radio, and public signage, as well as Internet sites, social media sites, apps, or any other electronic media.
e. The MAP Policy does not apply to solely on premise or in-store advertising that is not distributed to customers.
f. When an InMode customer purchases Morpheus8 and Morpheus8 Body tips directly from
InMode, those tips are only permitted to be used on their device and their patients. Failure to

comply will result in the purchasing customer’s forfeiture of past and/or future discounts from
InMode (see Schedule B for discounted prices).

Policy Enforcement
a. Failure to adhere to this MAP Policy may result in the customer’s forfeiture of past and/or future
Discounts from InMode. The Consumable Products and related List and Discounted Prices are listed
in Schedule B.
b. If a customer with multiple store locations non-acquiesces with this MAP Policy at any one store
location, or on any associated website, then InMode will consider this to be non-acquiescence with the
MAP Policy.
c. InMode’s MAP Policy Administrator is solely responsible for determining whether a customer has
adhered to this MAP Policy.
d. The MAP Policy will be enforced by InMode in its sole discretion and without notice. InMode’s sales
personnel shall have no right to enforce the MAP Policy. All questions related to this MAP Policy
